TenStep, Inc. Affiliate Program Terms & Conditions

Please read this agreement carefully before joining the TenStep, Inc. affiliate program. By joining the TenStep, Inc. Affiliate Program ("Program"), you signify your assent to this Agreement and agree to abide by following terms & conditions.

This Terms and Conditions Agreement ("Agreement") is between TenStep, Inc. (also referred to as "we", "us", "our") and each affiliate (also referred to as "you" and "your"). 

General

  1. You will complete a sign-up application to join the Program. You validate that the information you enter on the sign-up form is complete and accurate. We will approve or disapprove your application at our sole discretion. 

  2. You agree to promote TenStep, Inc. product(s) and/or website(s) utilizing one or more of our standard affiliate program links and graphics.

  3. We agree to pay you a commission on the TenStep, Inc. portion of the revenue from each sale by visitors that you refer to any of our product websites. This commission does not apply to the products listed on the Product Inclusion and Exclusion Table as explained further in the TenStep Affiliate Program Disclaimer#1. The commission is based on the total TenStep, Inc. revenue as further explained in the TenStep Affiliate Program Disclaimer#2.

  4. We will pay any commissions due to you no later than 30 days after the end of each month ("Commission Cycle") for sales that occurred in the prior month. The commission statistics on www.MyReferer.com are considered unofficial because of partial commissions and returns.

  5. Some of our products include a thirty-day money back guarantee. If an affiliate sale leads to a customer return, we will deduct the commission earned or paid from the current balance owed to the affiliate.

Trademarks and Copyright

  1. All TenStep, Inc. websites, text, graphics and other content are the property of TenStep, Inc. or the respective third-party copyright owners, and are protected by United States and international copyright law. All trademarks on all of our websites remain the property of TenStep, Inc. or the respective trademark owners.

Restrictions

  1. We do not allow affiliates to:

  • Mislead others about their role as an affiliate, or mislead visitors about the nature of our products.

  • Promote our products within downloadable software.

  • Manipulate or attempt to manipulate the affiliate program and/or commission structure.

  • Operate a website that contains or promotes defamatory, obscene, abusive, violent, bigoted or otherwise illegal content, or that offers any illegal good or service, or links to a website(s) that does so.

  • Engage in spamming, indiscriminate advertising or unsolicited commercial email.

  • Copy or reproduce other content from our website without our permission. (TenStep, Inc. may grant such permission, upon request, at our sole discretion.)

  • Utilize our product trademark graphics.

We reserve the right to terminate this Agreement with you for violation of any of the above mentioned items at any time within our sole discretion with or without notice.

Warranties Disclaimed and Limitation of Liability

  1. We make no claims as to the revenue potential of our Program.

  2. We will execute the Program to the best of our ability and in good faith. It is your responsibility to bring any Program errors to our attention within 30 days of our Commission Cycle. If we agree that a commission error has occurred, we will reconcile the amount owed to you on the next payment cycle. We will not be responsible for penalties or interest. 

Effective Date and Termination

  1. This Agreement is effective after we approve your affiliate application and will continue until terminated. You may terminate this Agreement at any time.  We may terminate this Agreement if you breach any term of this Agreement and fail to cure that breach within 10 days after notice from us. Upon termination, you will remove any affiliate links related to this Program.

Miscellaneous

  1. This Agreement is between you and us. No other individuals or companies are covered. This license does not give you the right to sublicense, publish, display, give, export or distribute, sell, or resell our content for any other purpose without our prior written consent.

  2. This Agreement does not grant you a license to use any TenStep, Inc. products.

  3. This Agreement shall be interpreted and construed in accordance with the laws of the State of Georgia, USA. 

  4. If any provision in this Agreement is determined by a competent authority to be unenforceable, all other provisions of this Agreement shall continue in full force and effect.  If any of these circumstances occur, the parties agree to endeavor in good faith to negotiate such amendment or amendments to this Agreement as will restore the relative desired benefits and obligations of the parties under this Agreement immediately prior to such holding, modification or condition.

  5. The headings of each paragraph of this Agreement are inserted solely for the reader’s convenience, and are not to be construed as part of the Agreement.

  6. We may assign this Agreement to our successors and assigns. You may not assign this Agreement to any third party company or individual.

  7. All notices under this Agreement shall be sent to you by email at the email address associated with your affiliate account. You are responsible for keeping your email address up-to-date. We assume that you will receive and read any notices that we send to you via email. This will be true even if the affiliate account email address is not correct. 

  8. This Agreement constitutes the complete agreement of the parties with respect to the licenses granted hereunder. This Agreement supersedes all prior proposals and understandings, whether oral or written, with respect to such subject matter, and may be modified only with the full agreement and consent from you and us. Either party’s waiver of, or failure to exercise, any right provided for in this Agreement shall not be deemed a waiver of any further or future right or provision under this Agreement.
